  • Select a unique business name for your LLC

Under Wyoming law, the words “Limited Liability Company,” or “Limited Company,” or the abbreviations “LLC” or “L.L.C.,”  or the abbreviations “LC” or “L.C.,” “Ltd. Liability Company,” “Ltd. Liability Co.,” or “Limited Liability Co.” must appear in the name of an LLC. The words “Low Profit Ltd. Liability Co.” or “Low Profit Limited Liability Co.”, “Low Profit Ltd. Liability Company,” or the abbreviations “L3C” or “l3c” must appear in the name of a low profit SMLLC (Single Member Limited Liability Company).

The name of your LLC must be distinct from the names of other business entities already on file with the Wyoming Secretary of State. By filing an Application for Reservation of Name with the Wyoming Secretary of State, you can reserve a name for 120 days.

  • Give Your LLC an Official Business Address

Every Wyoming LLC must have a street address, whether it is an office building, a home (if the company is run from home), or any other physical location. It can be located outside of the state, and you can use a P.O. Box.

  • Article of Organization

Articles of Organization are filed with the Secretary of State to form a Wyoming LLC. The articles must include the following:

    4. The LLC’s mailing address.

  • Fill out and submit your Articles of Organization

Once you have gathered all of the necessary information for your Wyoming LLC, you will need to file a form with the Secretary of State to create your Articles of Organization, which officially establishes your LLC. You can file your Wyoming Articles of Organization online using the state’s filing system, or you can mail a form to the Wyoming Secretary of State’s Office. You only need to file your Wyoming Articles of Organization once, but you must file a Wyoming annual report every year after that.

  • Get an EIN (Employer Identification Number)

To identify your company to the IRS, you will need an EIN (Employer Identification Number). When you file and pay taxes, or when you submit payroll information and pay your employees, you need an EIN. An EIN is also required to open a business bank account. You can get one from the IRS directly, or an third party can do it for you as part of the Wyoming LLC formation process.
