- Issue of TDS Certificate (Form 132): Deductors who have deducted and deposited TDS on specified transactions covered under section 393(1), including rent, transfer of immovable property, specified contractual, commission, or professional payments, and transfer of virtual digital assets must issue Form 132 to the deductee within 15 days from the due date for furnishing the corresponding Form 141. For TDS deducted in July 2026, the certificate is due by 15/09/2026. Form 132 replaces the earlier Forms 16B, 16C, 16D, and 16E.

Board Meeting Compliance: A regular company must generally hold at least four Board meetings every year, with no more than 120 days between two consecutive meetings. An OPC, small company, or dormant company generally complies by holding at least one Board meeting in each half of the calendar year, with a gap of at least 90 days. The requirement does not apply to an OPC having only one director. Therefore, September is relevant only where a meeting falls due under the company’s schedule.

Maintenance of Statutory Registers and Minutes: Companies must keep their register of members, applicable security-holder registers, register of directors and KMP, and minutes of Board and general meetings updated. The exact registers required depend on the company’s structure and transactions.

PF Contribution Payment and ECR Filing: Employers covered under EPF must file the Electronic Challan-cum-Return and deposit the EPF, EPS, EDLI and other applicable amounts for August 2026 by 15 September 2026. Under the revamped ECR system, the return must first be filed and approved, after which the challan is generated for payment.

1. Is Form MGT-14 required for every Board resolution?
No. Form MGT-14 is required only for resolutions and agreements specified under Section 117 of the Companies Act, 2013. Certain private companies may also receive exemptions for specified Board resolutions. The resolution type and the company’s legal status should be checked before filing MGT-14.
2. Can AOC-4 be filed if financial statements are not adopted at the AGM?
Yes. If the financial statements are not adopted at the AGM, the company must file the unadopted statements as provisional financial statements. After adoption at the adjourned AGM, the company must file the adopted financial statements separately in the prescribed manner.
3. Can a company keep its books of account outside its registered office?
Yes. A company may maintain its books of account at another location in India if the Board of Directors approves the location. The company must also notify the Registrar of Companies of the complete address within the prescribed period.
4. Can company books and supporting records be maintained electronically?
Yes. Section 128 permits companies to maintain books of account and supporting documents electronically, subject to the prescribed conditions. The records must remain complete, accessible and capable of being reproduced for inspection, audit and regulatory verification.
5. Is a Board meeting mandatory if the company has no business activity?
Yes. A company must comply with the applicable Board meeting requirements even when it has no major transaction or business activity. An OPC, small company or dormant company follows a reduced meeting requirement. An OPC with only one director is exempt from the Board meeting provisions under Section 173.
6. What is the difference between Form SH-7 and Form PAS-3?
Form SH-7 is used to report an alteration in share capital, such as an increase in authorised share capital. Form PAS-3 is a return of allotment used when the company actually issues or allots shares or securities. Increasing authorised capital does not itself amount to allotment.
7. Is Form INC-22 sufficient for every change in registered office?
No. INC-22 is used to report and verify the changed registered office, but additional approvals or filings may apply depending on whether the company shifts within the same city, outside local limits, between ROC jurisdictions or from one state to another.
8. Does an OPC need to hold an Annual General Meeting?
No. The AGM requirement under Section 96 does not apply to a One Person Company. Matters ordinarily transacted at an AGM are recorded through written resolutions entered in the minutes book and signed and dated by the sole member.
9. Which form records the appointment or resignation of a director?
The company generally uses Form DIR-12 to report the appointment, resignation or other change relating to a director or KMP. A resigning director may separately file Form DIR-11 to report the resignation directly to the Registrar.
