PAN Card for Partnership Firm with One Private Limited Company Partner
Introduction
A partnership firm requires PAN for income-tax and financial compliance. A partnership firm is allotted a PAN, and the applicant may opt for a physical PAN card or e-PAN, depending on the application mode. A partnership may include individuals as well as a Private Limited Company as a partner, subject to applicable legal and corporate requirements. This blog explains whether a company can become a partner and how the new partnership firm can apply for PAN under the current rules.
Key Highlights
- A Private Limited Company can become a partner, subject to proper corporate authorisation.
- The partnership firm requires its own PAN, separate from the PAN of its partners.
- From 1 April 2026, an Indian partnership firm uses Form No. 94 for a new PAN application.
- A partnership deed or Certificate of Registration issued by the Registrar of Firms can support the PAN application.
- For a PAN Card for Partnership Firm, a partnership deed can be submitted even where a Registrar of Firms registration certificate is not available.
Can a Private Limited Company Be a Partner in a Partnership Firm?
Section 4 of the Indian Partnership Act, 1932 defines partnership as the relationship between persons who agree to share the profits of a business carried on by all or any of them acting for all.
A company, being an artificial legal person, can enter into a partnership, provided the arrangement is authorised by its objects, constitutional documents, and applicable corporate approvals. In Dulichand Lakshminarayan v. Commissioner of Income Tax, the Supreme Court observed that the word “persons” under Section 4 contemplates natural as well as artificial legal persons. However, a partnership firm itself is not a separate legal person and cannot, as a firm, become a partner in another partnership.
Where a Private Limited Company becomes a partner, the arrangement should be permitted under its constitutional documents and supported by appropriate corporate authorisation.
Before finalising such an arrangement, it is useful to understand the complete partnership firm registration process so that the deed, partner details, and registration documents are prepared correctly.
What Should the Partnership Deed Mention?
When applying for a PAN Card for Partnership Firm where one partner is a Private Limited Company, the partnership deed should clearly record relevant details such as:
- Name and address of the partnership firm
- Name of the company partner
- Details of the other partners
- Capital contribution by each partner
- Profit and loss sharing ratio
- Rights and duties of the partners
- Nature of the firm’s business
- Authority to represent and operate the firm
- Procedure for admission, retirement, or change of partners
The company should execute the partnership deed through an appropriately authorised person.
For more information on drafting the agreement, read Importance of a Partnership Deed.
Does the Partnership Firm Use the Private Limited Company’s PAN?
No. The PAN Card for Partnership Firm is separate from the PAN held by the Private Limited Company or any other partner. The partnership firm must apply for PAN in its own name. The PAN of the company partner cannot be used for the partnership firm’s tax and financial transactions.
How to Apply for a PAN Card for a Partnership Firm?
From 1 April 2026, the PAN application framework changed under the Income-tax Rules, 2026.
For a PAN Card for Partnership Firm, an Indian partnership firm is treated as a non-individual Indian entity for PAN application purposes and must apply through Form No. 94. The Income Tax Department specifically lists a “Firm” among the entities that can apply through Form No. 94.
1. Apply Through an Authorised PAN Service Provider
A PAN application for a partnership firm can be submitted online through:
- Protean eGov, formerly NSDL eGov
- UTIITSL
Applicants seeking a PAN Card for Partnership Firm may also submit the application through authorised PAN Application Centres.
For businesses planning multiple registrations, you can also read how to apply for PAN and GST for a partnership firm.
2. Select Form No. 94 and Choose “Firm”
Select Form No. 94, which is prescribed for an Indian company, entity incorporated in India, or unincorporated entity formed in India.
Under the status field, select:
Firm
Form No. 94 specifically provides “Firm” as one of the applicant categories.
3. Enter the Partnership Firm Details
The applicant must provide the information required in Form No. 94, including:
- Full name of the partnership firm
- Date of partnership deed
- Office address
- Communication address
- Contact details
- Source of income
- AO Code
- Details of the Representative Assessee or Authorised Representative
For a partnership firm, the relevant date in Form No. 94 is the date of the partnership deed. The form also requires an office address and communication address.
4. Submit the Required Documents
Rule 158 of the Income-tax Rules, 2026 prescribes the documents for a PAN Card for Partnership Firm.
A firm formed or registered in India can submit either:
- Copy of the Certificate of Registration issued by the Registrar of Firms; or
- Copy of the partnership deed.
Therefore, for applying for PAN, a firm that does not have a Registrar of Firms registration certificate can use its partnership deed.
Form No. 94 also requires proof of identity and address of the Representative Assessee or Authorised Representative. Their Indian address is mandatory.
You can also refer to Documents Required for Formation of a Partnership Firm for general partnership documentation.
5. Pay the Applicable PAN Application Fee
PAN application fees depend on the selected filing and delivery mode. The current fees for an Indian communication address are as follows:
Protean currently lists the following fees where the communication address is in India:
|
Application Mode |
Physical PAN Card |
e-PAN Only |
|
Online application with physical document submission |
₹107 | ₹72 |
| Online paperless application | ₹101 |
₹66 |
Note: For a paperless PAN application completed using e-Sign, an additional e-Sign charge of ₹5.90 may apply.
The above amounts for a partnership firm PAN application include applicable taxes and may change if the authorised service provider revises its fee structure.
6. Complete Submission and Verification
If the applicant chooses physical document submission, the prescribed acknowledgement and supporting documents must be submitted according to the service provider’s instructions.
Where an eligible paperless mode is used, such as e-Sign or DSC-based submission, the application can be completed electronically according to the applicable process. Protean separately provides physical and paperless PAN application modes.
After submitting the firm’s PAN application, the applicant receives an acknowledgement or reference number that can be used to track the application status.

Frequently Asked Questions
1. What happens if a partnership firm's Form 49A application was pending on 31 March 2026?
A PAN application validly submitted before 1 April 2026 does not need to be filed again merely because the new PAN forms came into effect. The Income Tax Department has clarified that applications pending as on 31 March 2026 continue to remain valid.
2. What happens if the PAN application for partnership firm is incomplete?
An incomplete or deficient PAN application may be treated as invalid. The applicant should rectify the deficiency or submit a fresh application, as applicable, based on the instructions provided by the authorised PAN service provider.
3. Can an authorised representative submit Form No. 94 for partnership firm?
Yes. An Authorised Representative or Representative Assessee can submit Form No. 94 for partnership firm on behalf of the applicant. The representative must provide the prescribed proof of identity and proof of address along with the applicant’s supporting documents.
4. What if the Authorised Representative does not have a PAN?
If the Authorised Representative or Representative Assessee does not have a PAN, Form No. 94 requires the Aadhaar number, where applicable as per the form instructions. The representative must also provide an Indian address, mobile number, and email address.
5. Can details in Form No. 94 be edited after final submission?
No. The Income Tax Department states that a PAN application cannot be edited after final submission. If PAN has already been allotted and any information needs correction, a separate PAN correction request must be filed.
6. Which form should a partnership firm use to correct PAN details after allotment from 1 April 2026?
A non-individual entity such as a partnership firm must use PAN CR-02 for changes or corrections in PAN data from 1 April 2026. The correction request can be submitted through Protean eGov or UTIITSL.
7. What should be done if the name of the partnership firm changes after obtaining PAN?
If the firm’s name changes, the existing PAN should generally be updated through Form PAN CR-02 instead of applying for a new PAN. The prescribed supporting documents for the name change should be submitted with the correction request.
8. Does a Partnership Firm PAN Card also serve as TAN for TDS compliance?
No. PAN and TAN serve different purposes. PAN identifies the partnership firm for income-tax purposes, while TAN is required where the firm is responsible for deducting or collecting tax at source. A PAN cannot be used in place of TAN where TAN is required. You can also refer to the documents required for TAN application by a partnership firm if your firm is liable to deduct or collect tax at source.
9. Should a firm apply for another PAN if its existing PAN card is lost?
No. A partnership firm that already has PAN should not apply for a second PAN. It should request a reprint of the existing PAN card or correction of PAN data where required. Ebizfiling can assist in identifying the appropriate application route based on the firm’s existing PAN records.
10. Can errors in company-partner details affect the PAN application for partnership firm?
Details used in the PAN Card for Partnership Firm application should be consistent with the partnership deed and supporting documents. An incomplete or deficient PAN application can be treated as invalid, so details should be reviewed before final submission. Ebizfiling can assist with document review and PAN application preparation where a Private Limited Company as partner forms part of the business structure.
