A. File annual report
- The owner must file an Annual Report every year with the Wyoming Secretary of State.
- At the time of filing the Annual Report, the Annual Report fee needs to be paid.
- Limited Liability Corporations (LLCs) must file their report and file LLC compliances in Wyoming using the Wyoming Secretary of State online portal.
- LLCs must file their annual reports on the first day of the anniversary month of their formation. For example, if you registered your Limited Liability Corporation (LLC) on June 10th, 2024, your Annual Report is due on June 1st every year.
B. LLC Federal Partnership Filing
To file an LLC as a federal partnership, the owner must file Proforma Form 5472 along with Form 1065.The IRS revised Form 5472, originally designed for U.S. corporations, to apply to LLCs. LLCs must attach Form 5472 to the cover page of the proforma Form 1065.
The LLC must obtain an EIN (Employer Identification Number) to submit Forms 1065 and 5472. Form 5472 requires reporting only three key financial details.
- The LLC’s valuation as of December 31 (the tax year’s closing date).
- The amount of money transferred from the non-U.S. owner to the LLC during the tax year.
- The amount of money transferred from the LLC to the non-U.S. owner during the tax year.
