The Ministry of Corporate Affairs (MCA) has introduced the Companies Compliance Facilitation Scheme, 2026 (CCFS-2026) to help companies clear pending ROC filings at significantly reduced penalties.
Under this scheme, One Person Companies (OPCs) can regularize overdue compliance by paying Normal Fees plus only 10 percent of the Additional Fees applicable at the time of filing. Because of this massive reduction, the scheme is commonly referred to as the MCA Amnesty Scheme 2026.
According to the MCA circular dated 24 February 2026, companies can file delayed forms such as AOC-4 and MGT-7 / MGT-7A by paying only a fraction of the usual additional fees.
This special compliance window will remain open from 15 April 2026 to 15 July 2026, giving companies a limited opportunity to clear pending ROC filings and restore their compliance status.
CCFS for a One-Person Company is a compliance relief scheme that allows eligible OPCs to file overdue ROC forms, annual returns, and financial statements at concessional additional fees. The scheme aims to improve compliance levels and help companies update pending statutory records maintained with MCA.
Many OPCs fail to complete annual filing requirements due to operational challenges, lack of awareness, or financial constraints. Through CCFS 2026, such companies receive a limited-time opportunity to regularize defaults before stricter enforcement actions are initiated.

One of the biggest advantages of CCFS 2026 is the reduction in additional filing fees.
Normally, delayed ROC filings attract substantial additional fees based on the duration of delay. Under the Companies Compliance Facilitation Scheme, eligible companies are required to pay only 10% of the applicable additional fees for covered filings.
For companies considering dormant status, only half of the normal filing fee is payable for filing Form MSC-1. Similarly, companies filing Form STK-2 for strike-off are required to pay only 25% of the applicable filing fee.
Yes. In specific situations, immunity from prospective penal action may be available where eligible filings are completed within the prescribed conditions of the scheme.
However, immunity depends on the nature of the default, filing timelines, and whether prosecution or adjudication proceedings have already commenced. Companies should assess their position before relying on immunity provisions.
